To accurately grasp and proactively adapt to the newly revised Company Law of the People's Republic of China, further enhance the enterprise's governance level and risk prevention capabilities under the background of the new Company Law, and ensure the steady development of the enterprise within the new legal framework, China Tec Group organized a special training session on interpreting the key points of the revised new Company Law on March 25th. The training was taught by specially invited lawyer Xie Hongmei from Beijing Zhonglun Wende (Changsha) Law Firm, and all employees of China Tec Group participated.

On December 29, 2023, the 7th Session of the Standing Committee of the 14th National People's Congress voted to adopt the newly revised Company Law of the People's Republic of China, which will come into force on July 1, 2024. Meanwhile, this revision of the new Company Law is the largest one since the legislation of the Company Law.

Starting from the revision background, Lawyer Xie Hongmei made a detailed interpretation of the key points and highlights of the new Company Law by comparing the old and new legal provisions. She focused on in-depth analysis of legal issues that may exist in various stages of company establishment, operation and termination, as well as aspects such as the capital contribution restriction system, the optimization of the legal representative system, the adjustment of the company governance structure, and the expansion of the corporate personality denial system. She also emphasized core issues related to the company, such as shareholders' capital contribution obligations, directors, supervisors and senior executives' fiduciary obligations, protection of minority shareholders' rights, the authorized capital system for joint-stock companies, and the issuance of category shares.

Through case analysis, Lawyer Xie Hongmei gave a vivid explanation of the legal provisions in easy-to-understand language, helping the trainees better understand and master the new Company Law and the significance of its revision. At the same time, she provided effective preventive measures and suggestions for legal risks that enterprises may encounter in actual operation.

The training content was rich and detailed, with strong theoretical and guiding significance.
